Agreement to Terms

By accessing or using the services provided by Symmetry Network Management, Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

Services Description

We provide managed IT services, cybersecurity solutions, helpdesk support, network monitoring, and related technology services to small and medium-sized businesses. Specific services are defined in individual Service Agreements with each client.

Service Agreements

Our services are provided under written Service Agreements that outline:

  • Scope of services and deliverables
  • Service level agreements (SLAs) and response times
  • Pricing, payment terms, and billing schedules
  • Contract duration and termination provisions
  • Responsibilities of both parties

Service Agreements take precedence over these general Terms of Service in case of conflict.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your IT environment
  • Grant necessary access to systems and facilities for service delivery
  • Maintain appropriate insurance coverage for your business operations
  • Follow security policies and procedures we recommend
  • Pay invoices according to agreed payment terms
  • Notify us promptly of any issues or changes to your environment
  • Comply with all applicable laws and regulations

Payment Terms

Payment terms are specified in individual Service Agreements. Generally:

  • Monthly recurring services are billed in advance
  • Project work is billed according to milestones or upon completion
  • Payment is due within 30 days of invoice date unless otherwise specified
  • Late payments may incur interest charges and service suspension
  • Client is responsible for all costs of collection, including attorney fees

Confidentiality

We maintain strict confidentiality of all client information and systems we access. Both parties agree to:

  • Protect confidential information from unauthorized disclosure
  • Use confidential information only for authorized purposes
  • Return or destroy confidential information upon contract termination

Confidential information does not include information that is publicly available or independently developed.

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Our total liability is limited to fees paid in the 12 months preceding the claim
  • We are not responsible for losses caused by third-party services or client negligence
  • We make no warranties beyond those explicitly stated in Service Agreements

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Service Level Agreements

Response times and service levels are defined in individual Service Agreements. We make commercially reasonable efforts to meet stated SLAs but do not guarantee specific uptime or response times beyond contractual commitments. SLA credits, if applicable, are the sole remedy for failure to meet service levels.

Termination

Either party may terminate services according to terms in the Service Agreement. Generally:

  • Written notice is required (typically 30-90 days)
  • Client remains responsible for fees through the notice period
  • We may terminate immediately for non-payment or breach of terms
  • Upon termination, we will return or destroy client data as requested
  • Client must remove our monitoring tools and access credentials

Data Backup and Recovery

While we provide backup services as part of managed IT solutions, ultimate responsibility for data retention and recovery lies with the client. We strongly recommend maintaining independent backup copies of critical data. We are not liable for data loss beyond the scope explicitly covered in the Service Agreement.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of our services after changes constitutes acceptance of modified terms.

Governing Law

These Terms of Service are governed by the laws of the state where our company is incorporated, without regard to conflict of law provisions. Any disputes will be resolved through arbitration or in the courts of that jurisdiction.
